KUALA LUMPUR, MALAYSIA – We refer to the press release dated 8 December 2025, in which Venator Asia Sdn Bhd (“VASB”) had announced that the High Court of Malaya at Kuala Lumpur had in Originating Summons No.: WA-24NCC(SOA)-21-09/2025 granted (i) an order for the convening of separate meetings with VASB’s 3 classes of creditors for the purpose of proposing a scheme of arrangement under Section 366 of the Companies Act 2016; and (ii) the restraining order under Section 368 of the Companies Act 2016 restraining any commencement or continuation of legal proceedings against VASB for an initial period of 3 months.
We further refer to the Order dated 24 February 2026, in which the High Court of Malaya at Kuala Lumpur has granted an extension of the said convening and restraining orders up to 26 November 2026.
VASB is pleased to inform its scheme creditors that the creditors’ meeting will be convened on the following times and dates for the respective classes of scheme creditors below:
i. Class A Creditors, on 24 July 2026, 11:00a.m.
ii. Class B Creditors, on 24 July 2026, 9:30a.m.
iii. Class C Creditors, on 24 July 2026, 11:30a.m.
A copy of the Notice of Scheme Meeting, along with details relating to the classes of creditors and the proof of debt exercise to be carried out (amongst other things), will be delivered to all of VASB’s scheme creditors.
The Scheme Meetings will be chaired by Mr. Chiang Teng Guan, being the Chairman of the Scheme Meetings as appointed by the Court on 24 February 2026 (“Scheme Chairman”).
If you believe that you have claims against VASB as of 31 December 2025, you are invited to file your Proof of Debt Form (“POD Form”). A copy of the POD Form will be made available to you along with the Notice of Scheme Meeting and other scheme documents. You are requested to prove the aggregate amount of any debts which may be due and owing by VASB to you as of 31 December 2025 under the POD Form. The proof of debt exercise will be conducted by the Scheme Chairman.
We thank all stakeholders, in particular the scheme creditors, for your continuous and unwavering support of VASB, without which the proposal of the scheme of arrangement would not have been possible. VASB remains committed to engaging with stakeholders transparently as it moves through the Court-supervised process. VASB will continue to provide updates as material developments occur.

Venator Asia Sdn Bhd Mengumumkan Mesyuarat Skim Perintah Mahkamah untuk Pemiutang di Kuala Lumpur
Kami merujuk kepada pengumuman media bertarikh 8 Disember 2025, di mana Venator Asia Sdn Bhd ("VASB") telah mengumumkan bahawa Mahkamah Tinggi Malaya di Kuala Lumpur telah dalam Saman Pemula No.: WA-24NCC(SOA)-21-09/2025 memberikan (i) perintah untuk memanggil sidang mesyuarat yang berasingan untuk 3 kelas pemiutang VASB bagi tujuan mencadangkan skim perkiraan di bawah Seksyen 366 Akta Syarikat 2016; dan (ii) perintah halangan di bawah Seksyen 368 Akta Syarikat 2016 yang menghalang sebarang permulaan atau penerusan prosiding undang-undang terhadap VASB untuk tempoh 3 bulan.
Kami seterusnya merujuk kepada Perintah bertarikh 24 Februari 2026, di mana Mahkamah Tinggi Malaya di Kuala Lumpur telah memberikan lanjutan perintah persidangan dan halangan tersebut sehingga 26 November 2026.
VASB dengan sukacitanya memaklumkan kepada pemiutang skimnya bahawa mesyuarat pemiutang akan dipanggil sidang pada masa dan tarikh berikut untuk kelas pemiutang skim masing-masing di bawah:
i. Pemiutang Kelas A, pada 24 Julai 2026, 11:00 pagi
ii. Pemiutang Kelas B, pada 24 Julai 2026, 9:30 pagi
iii. Pemiutang Kelas C, pada 24 Julai 2026, 11:30 pagi
Salinan Notis Mesyuarat Skim, bersama-sama dengan butiran yang berkaitan dengan kelas pemiutang dan proses bukti hutang yang akan dijalankan (antara lainnya), akan dihantar kepada semua pemiutang skim VASB.
Mesyuarat Skim akan dipengerusikan oleh Encik Chiang Teng Guan, sebagai Pengerusi Mesyuarat Skim seperti yang dilantik oleh Mahkamah pada 24 Februari 2026 ("Pengerusi Skim").
Jika anda percaya bahawa anda mempunyai tuntutan terhadap VASB setakat 31 Disember 2025, anda dijemput untuk memfailkan Borang Bukti Hutang ("Borang BH") anda. Salinan Borang BH akan disediakan kepada anda bersama-sama dengan Notis Mesyuarat Skim dan dokumen-dokumen skim lain. Anda diminta untuk mengemukakan membuktikan jumlah agregat sebarang hutang yang mungkin perlu dibayar dan terhutang oleh VASB kepada anda setakat 31 Disember 2025 dibawah Borang BH tersebut. Proses pembuktian hutang tersebut akan dijalankan oleh Pengerusi Skim.
